Running an AGM in Russia looks straightforward until the deadlines start shifting. This article walks legal, tax, and compliance teams through the essentials, from convening rules to filing obligations. Whether you manage a Russian limited liability company (OOO) or a joint-stock company (AO), you will find the timelines, procedures, and risks that matter most. Think of it as a quick orientation before the annual cycle begins.
When must you hold the AGM?
The deadline depends on your legal form, so check which one applies first.
- An LLC must hold its AGM no earlier than two months and no later than four months after the financial year ends. For a calendar year, that usually means March to April.
- A JSC gets a longer window. It must convene no earlier than two months and no later than six months after year end. This reflects the heavier governance and disclosure load that JSCs carry.
Your charter can narrow the window or fix a specific date. It cannot, however, stretch the statutory deadline.
Can you simply postpone it?
Not really. Russian corporate law offers no formal mechanism to reschedule the AGM once the deadline applies. You can still hold the meeting after the deadline passes. But the law treats that meeting as late, not postponed. No substitute deadline appears, and the original one remains the only relevant date.
The annual resolutions, above all the approval of financial statements, are still required. Holding the meeting late fixes the substance while leaving the breach on record.
What happens if you miss the deadline?
Missing the deadline, or skipping the AGM entirely, breaches corporate governance rules and can trigger administrative liability. Fines reach up to RUB 700,000 (roughly USD 12,000) for the company. Responsible officers, such as the general director, may also face personal fines.
Enforcement risk climbs where the failure leads to unapproved financial statements, unsupported dividend payments, or problems surfacing during a tax audit. Late compliance eases the operational pressure but does not erase the liability.
Who calls the meeting, and how much notice is required?
The convening body differs by form. In an LLC, the executive body (typically the general director) convenes the annual meeting. In a JSC, the board of directors handles it, usually through a formal resolution.
Notice timing also splits along the same line:
- LLC: notice no later than 30 days before the meeting.
- JSC: announcement at least 20 days ahead, rising to 30 days where the agenda includes reorganisation.
Whatever the form, the notice must set out the date, time, place, and proposed agenda. Get one of those wrong and the whole meeting can be challenged.
How can the meeting actually be held?
You have more flexibility here than many teams expect. A physical in-person meeting remains the default, particularly where mandatory items such as financial statements need genuine discussion.
Absentee voting offers a remote alternative, provided the voter’s identity can be confirmed and each vote properly recorded. This is the recognised route for electronic participation, and only a Russian qualified electronic signature (QES) carries legal weight for signing.
One neat shortcut applies to LLCs. Where a single participant owns the company, no meeting takes place at all. The sole participant simply decides matters in writing.
Who votes, and what forms a quorum?
Both LLCs and JSCs need participation representing more than 50% of voting rights for a valid meeting. If a JSC fails to reach quorum, a repeat meeting can proceed with just 30% participation, unless the charter sets a higher bar. LLCs have no equivalent fallback.
Majority thresholds then vary by decision. Routine matters pass on a simple majority. Structural changes, such as charter amendments, demand a qualified majority. The most fundamental decisions, including reorganisation and liquidation, sit at the top of the scale and attract the strictest requirements.
What about financial statements and audits?
Management prepares the annual financial statements before the meeting, since approval is a mandatory agenda item. Audit obligations then depend on the form. Every JSC faces a mandatory annual audit, and the AGM cannot approve statements without the external auditor’s report.
An LLC crosses into mandatory audit territory when it breaches certain financial thresholds, issues securities, or falls under a sector-specific rule. The revenue and asset triggers are set high, so many smaller LLCs sit outside them. Where an audit is required, no approval is valid without the auditor’s opinion.
How do dividend decisions work?
Dividends flow only from approved financial statements, so the sequencing matters. The AGM resolves whether to declare dividends, how much, in what form, and by when. LLCs must pay within 60 days of the resolution unless the charter shortens that period. JSC timing follows its own statutory rules tied to the record date.
Here is the part teams often overlook. The company acts as a tax agent on dividends. It must withhold the relevant tax, remit it, and report through tax filings within the statutory deadlines. That tax reporting, not any registry filing, is the real obligation to watch.
What must you file once the AGM is done?
Two clocks run after the meeting, and they run at different speeds.
- Registrable changes, such as charter amendments or a change of general director, must reach the Unified State Register of Legal Entities (EGRUL) within three business days of the resolution. Until that happens, the change carries no effect against third parties.
- Financial statements follow a separate track. They must be filed with the tax and statistical authorities within three months of year end, meaning 31 March for a calendar year. This deadline holds regardless of when the AGM takes place.

Why does the detail matter?
Because the gaps between “decided,” “effective,” and “registered” are where risk hides. A resolution can be perfectly valid internally yet mean nothing to a bank or counterparty until it appears on the register. That distinction, between internal effect and public effect, quietly shapes how much of this process you can afford to leave to the last minute.
